These are the proposed bylaw changes ValleyIHP is asking members to vote on. This summary is for informational purposes only; final language will be reviewed by legal counsel.

Revisions Under Consideration

   Ballots

   Eliminate email and mail-in ballots going forward; voting will be conducted in person or by proxy. Because email and mail-in balloting is currently permitted under the bylaws, this change must first be approved using that same process before it takes effect.

2. 2

   Meeting Quorum

   Increase the minimum quorum required for a membership meeting from 10% to a majority (51%) of voting members.

3. 3

   Proxy Voting

   Permit a member who is unable to attend a meeting to authorize another eligible voting member to vote on their behalf.

   Action Without a Meeting

   Change the approval requirement for member action taken outside a meeting from unanimous consent (100%) to a majority (51%).

   Director Compensation

   Confirm that directors will not receive compensation for their service on the Board and may not simultaneously serve as paid ValleyIHP employees.

   Employment of Directors' Family Members

   Prohibit ValleyIHP from employing the immediate family members of current directors.

   Director Qualifications

   Correct a grammatical error in the director qualifications section of the bylaws.
